These Terms govern your use of the Brunexis website and any services we provide. Please read them carefully.
1. Acceptance of terms
By accessing our website, requesting a demo, or using any Brunexis service, you agree to these Terms. If you do not agree, please do not use the site or services.
2. Services provided
Brunexis provides AI voice agent solutions for home service businesses, including configuration, deployment, and ongoing support. Specific scope, features, and service levels are described in the individual agreement or order form signed with each customer.
We may improve, modify, or discontinue features over time. Where a change materially affects paying customers, we will provide reasonable notice.
3. Eligibility and accounts
You must be at least 18 years old and authorized to bind the business you represent. You are responsible for keeping account credentials secure and for activity that occurs under your account.
4. Acceptable use
You agree not to:
- Use the services for unlawful, harmful, or deceptive purposes.
- Interfere with or attempt to disrupt the services.
- Reverse engineer, copy, or resell the services without written permission.
- Use the services to send spam, harass, or violate anyone's rights.
5. Payments
Fees, billing frequency, and payment terms are set out in your order form or invoice. Unless stated otherwise, fees are due upon receipt and are non-transferable. Late payments may result in suspension of services and reasonable interest or collection costs.
6. Refunds
Setup fees and services already delivered are generally non-refundable. For recurring subscriptions, you may cancel at the end of your current billing period; we do not prorate refunds for partial periods unless required by law or otherwise agreed in writing.
7. Intellectual property
All software, prompts, workflows, models, documentation, brand assets, and other materials provided by Brunexis are owned by Brunexis or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use them for the purpose of receiving the services.
You retain ownership of your own business information and content that you provide to us. You grant us the limited rights we need to operate the services on your behalf.
8. Third-party services
Our services may rely on third-party providers (for example, telephony, calendar, and AI infrastructure). We are not responsible for the availability or actions of these providers, though we work to select reliable partners.
9. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms. This obligation continues after termination.
10. Warranties and disclaimers
We provide the services with reasonable care and skill. Except as expressly stated, the services are provided "as is" without warranties of any kind, whether express or implied. AI-generated outputs may contain errors and should be reviewed for critical decisions.
11. Limitation of liability
To the fullest extent permitted by law, Brunexis will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data. Our total aggregate liability under these Terms will not exceed the amounts you paid to Brunexis in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend and indemnify Brunexis against claims arising from your misuse of the services or violation of these Terms, to the extent permitted by law.
13. Termination
Either party may terminate for material breach that is not cured within a reasonable period after written notice. Upon termination, your right to use the services ends and any fees already accrued remain payable.
14. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
15. Changes to these Terms
We may update these Terms occasionally. If we make material changes, we will update the "Last updated" date and, where appropriate, notify customers. Continued use of the services after changes take effect constitutes acceptance.
